The certificate is a separate document from a letter of good standing, which the Rhode Island Division of Taxation issues to confirm a business is current on its tax returns, payments, licenses, and permits.

You may need a certificate of status (good standing) to do one of the following things:

  • Open a business bank account. Many banks require proof of active, compliant status before they'll open a commercial account.
  • Apply for a business loan or financing. Lenders routinely check a business’ status with the state before approving a loan or line of credit.
  • Register to do business in another state (foreign qualification). Many states require a certificate of existence to authorize an out-of-state business to operate within its borders.
  • Complete a merger or acquisition. Buyers, sellers, and their attorneys typically require proof of active status from all entities before a deal closes.
  • Apply for a business license. Some licensing agencies require a current certificate of existence before approving an application.

How to get a Rhode Island certificate of good standing: Step by step

There are several ways to order a certificate of status from the Rhode Island Department of State. You can order online, by mail, through the phone, or in person. Here’s how.

Step 1: Confirm your business’ current status

Before you take the time to submit your order and pay the related fees, make sure your business qualifies for a certificate of good standing. To do this, search your entity in the Rhode Island Department of State’s Corporate Database.

Your business is active if there is nothing written under the “inactive status” section. If that section is not blank, resolve the issue before moving forward.

Step 2: Choose your preferred request method

The Department of State offers several methods to request a certificate of good standing.

  • Online: Click on the name of your entity in the Corporate Database. This will pull up a records page for your business. In the top right corner, select the “request certificate” button and choose a certificate of good standing. Make sure to fill in the accurate information to avoid processing delays.
  • By mail: Draft a request for a certificate of good standing and include your business’ legal name and ID number. If you don’t know your business’ ID number, you can find it in the Corporate Database next to your entity’s name. Mail your request to the Business Services Division at the address below.
  • In person: Visit the Business Services Division. You can request your certificate of good standing from the public counter, which is open weekdays from 8:30 a.m. to 4:30 p.m.
  • Over the phone: Call the Business Services Division at (401) 222-3040 during a regular weekday between 8:30 a.m. to 4:30 p.m.

Step 3: Pay the filing fee

Here are the filing fees for a Rhode Island certificate of good standing. The DOS doesn’t accept payment over the phone, so individuals who choose this method will pay in person at the time of pick up.

Step 4: Receive your certificate

The delivery method and processing times also vary based on how you request your certificate:

  • Online requests generally process in around two business days, plus mailing time if you request a physical copy.
  • Mail requests typically process in five to seven business days, which includes mail time. However, sending a self-addressed and stamped envelope will speed up the process.
  • In person requests usually process that same day.
  • Phone requests require two business days for processing before you go to the Division to pick up your certificate.

Once you have your certificate of good standing, it’s good practice to save a copy for your records and give the other to the requesting party.

What to do if your Rhode Island business is not in good standing

If your business’ status is inactive, there are several things you can do to resolve the issue.

  1. Start by identifying the underlying problem. Check your business’ current status with the Rhode Island Department of State. The DOS states the type of inactive status in the Corporate Database. Use the DOS’ Status Definitions chart to determine which situation applies to your business.
  2. Confirm that your registered agent information is up-to-date. All Rhode Island business entities registered with the DOS need to maintain a registered agent with a physical office in Rhode Island to protect their active status in the state.
  3. File any overdue annual reports. Rhode Island businesses must file an annual report with the DOS. Failure to file these reports can lead the DOS to revoke your business.
  4. Pay any overdue taxes. In addition to annual reports, RI business entities must stay current on federal, state, and local tax filings to remain active with the DOS.
  5. Reinstate your business. Businesses that face revocation can file for reinstatement through the Department of State or use LegalZoom’s reinstatement service. To reinstate your entity, you’ll also need a letter of good standing from the RI Division of Taxation.
  6. Wait for the DOS to update its records. Once you’ve corrected the filing issue, it could take the DOS a few business days to update your business’ status in its records.
  7. Request the certificate of good standing once your status is active. Double-checking your business’ status with the DOS will help prevent a rejection.
