To form a Louisiana LLC, file the articles of organization and initial report together with the Louisiana Secretary of State. After approval, complete any required tax, employer, license, and permit registrations and calendar the LLC's annual report for its organization anniversary.

Step 1: Check your Louisiana LLC name availability

The first step in starting an LLC is to choose its name, and Louisiana has specific requirements.

Every Louisiana LLC name needs one of these designators: "limited liability company," "L.L.C.," or "L.C." "LLC" without periods isn't an approved designator under Louisiana Revised Statutes § 12:1306, so use "L.L.C." or "L.C."

Louisiana law requires the name to be distinguishable on the Secretary of State's records. Certain regulated words or professional terms may trigger additional approval or entity-type rules, so confirm any restriction with the Commercial Division and the relevant licensing authority before filing.

Before filing, confirm that your desired name is distinguishable from other names on the Secretary of State's records. A database search is an important step, but the Secretary of State makes the final decision on distinguishability when it reviews the filing.

Should you reserve your name?

Reservation is optional. For $25, Louisiana holds an available name for one nonrenewable 120-day period. Submit the reservation through geauxBIZ or by mail, and plan to file the LLC before the reservation expires.

Louisiana requires every LLC to continuously maintain a registered agent and a registered office in the state. Who can serve as a registered agent, and is it required?

An individual agent must be an adult Louisiana resident with a physical street address in the state. They must be available during normal business hours to receive any service of process or government communications. An entity agent must satisfy the authorization, organizational, and Secretary of State filing conditions in R.S. 12:1308.

Can you be your own agent?

If you meet Louisiana's requirements for an individual registered agent, you can be your own. However, using your home address can place it on the public record, so some owners use a professional registered agent service for a more consistent public contact address.

The articles and initial report are separate documents with different jobs. You’ll typically need to include the following information in your articles:

Do paper filings require notarization?

Should you file online or by mail?

The paper packet states that owners in Ascension, Bossier, Caddo, Calcasieu, East Baton Rouge, Jefferson, Lafayette, Livingston, Orleans, Ouachita, Rapides, St. Tammany, Tangipahoa, and Terrebonne parishes must file all available business documents online. Other filers should follow the form and portal instructions. Paper filings require the acknowledgments and notarization shown on the form, and expedited options are not limited to geauxBIZ.

Why file the initial report with the articles?

The initial report lists the registered office, registered agent, and selected initial managers or members—information that does not belong in the articles' statutory minimum fields. Louisiana requires the initial report with the articles. If managers or members have not yet been selected, submit the required supplemental report after they are selected.

How long does it take?

Routine processing time can vary. The Secretary of State offers 24-hour expedited handling for $30 and priority/while-you-wait handling for $50, but starting October 1, 2026, those fees become $35 and $60. These are processing targets, and an incomplete filing may still be delayed.

Step 4: Create an operating agreement for your Louisiana LLC

Louisiana does not require an operating agreement to be filed with the Secretary of State, but a written agreement is still the most reliable way to record ownership, contributions, management authority, voting, distributions, transfers, withdrawals, dispute procedures, and dissolution rules.

Member management is the statutory default unless the articles provide otherwise. Step 5: Get an EIN for your Louisiana LLC

Form the LLC with Louisiana before applying for an employer identification number (EIN). The IRS, not the state, issues EINs, and the need for one depends on the LLC's employees, federal tax classification, taxes, ownership changes, and business requirements.

An EIN is generally required when the LLC has employees, is taxed as a partnership or corporation, owes certain federal taxes, or changes structure or ownership. A single-member disregarded LLC may not need one for federal income-tax purposes, although a bank or other counterparty may request one.

Step 6: Complete tax, employer, license, and permit registrations

After formation, register only the tax, employer, license, and permit accounts the business actually needs. The Louisiana Department of Revenue handles state tax accounts, Louisiana Works determines unemployment-tax liability for employing units, and licensing may be handled by a state board, parish, or municipality.

Federal and Louisiana tax treatment depends on the LLC's member count, elections, owners, and activity. Risks of forming a Louisiana LLC yourself

Forming a Louisiana LLC yourself is possible, but the state's paired filings, parish-specific online rule, public-address requirements, and changing fee schedule create avoidable failure points. Review the Secretary of State instructions immediately before filing and treat tax, employer, and licensing registrations as separate, fact-dependent tasks.

  • Using the wrong name designator can stop the filing. Louisiana's statute lists “limited liability company,” “L.L.C.,” and “L.C.” for a standard LLC, not unpunctuated “LLC”.

Can another company be a member of a Louisiana LLC?

Yes. Louisiana's definition of “person” includes corporations, partnerships, domestic and foreign LLCs, trusts, estates, and associations, so an entity may be a member subject to any other law or agreement that applies.

Do you need to live in Louisiana to form an LLC there?
